Terms of Service

These Terms of Service ("Terms") govern your use of Forzive (the "Service"), operated by Ingenieria y Desarrollo Agil S. de R.L. de C.V. ("Forzive", "we", "us"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, claiming a pass, or otherwise using any part of Forzive, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. The Service

Forzive is a software platform that fitness businesses (gyms, studios, event organizers) use to manage members, schedule classes, take bookings, track workouts, and collect payments, and that their members use to book classes, pay, and follow their progress.

Forzive provides software only. Forzive is not the provider of the fitness services themselves, is not a party to the agreement between a gym and its members, and is not a gym, trainer, or health-care provider.

3. Accounts

To access most features you must create an account. You are responsible for keeping your credentials secure and for all activity that occurs under your account. You must be at least 18 years old to open a gym account. Tell us promptly at [email protected] if you believe your account has been used without your permission.

4. Subscriptions and Plans

Forzive is sold as a monthly subscription to the gym. Each plan tier includes a member limit and a set of features, as shown on our pricing page:

  • Billing cycle. Paid plans bill monthly in advance, on the same calendar day each month, to the payment method on file. The subscription renews automatically until it is cancelled.
  • Taxes. Prices are exclusive of any applicable taxes, which are added where required.
  • Changing plans. You may upgrade or downgrade at any time from your dashboard. Upgrades take effect immediately; downgrades take effect at the start of the next billing period.
  • Member limits. If your gym exceeds the member limit of its plan, we will ask you to upgrade. We may limit the addition of new members until you do, but we will not delete existing member records for this reason.
  • Price changes. We may change subscription prices with at least 30 days' notice by email. The new price applies from your next billing period after the notice, and you may cancel before then if you do not accept it.
  • Free plan. The Free plan is offered as-is, may be subject to functional limits, and may be modified or discontinued with 30 days' notice.

5. Platform Fees on Member Payments

In addition to the subscription, Forzive charges a platform fee calculated as a percentage of each member payment recorded in the Service. The rate depends on the gym's plan tier:

How the fee is collected depends on how the payment was taken:

  • Online card payments processed through Forzive are split automatically: the fee is deducted at the time of the transaction and the remainder is routed to the gym.
  • Payments recorded manually in Forzive — cash, bank transfer, or a card terminal outside the Service — accrue the same fee, which is recorded to the gym's account and settled separately rather than deducted at the time of payment.
  • Complimentary payments marked as a gift or comp are exempt, and we may waive fees for a gym by written agreement.

The platform fee is separate from, and additional to, the fees charged by the payment processor (Stripe or PixelPay), which are set by that processor under its own agreement with you.

6. Refunds and Cancellations

This section covers the Forzive subscription that a gym pays to us. For payments a member makes to a gym, see Section 7.

6.1 Cancelling your subscription

  • You may cancel at any time, from the billing section of your dashboard or by writing to [email protected]. No notice period is required and no cancellation fee applies.
  • Your access continues until the end of the billing period you have already paid for. Cancelling does not cut off your account immediately — the subscription simply does not renew.
  • After the paid period ends, the gym's account moves to the Free plan or is closed, at your choice. Your data remains available for export for the period described in our Privacy Policy.

6.2 No prorated refunds

Subscription charges are billed in advance for a full month.

  • We do not issue prorated refunds for partial months. If you cancel in the middle of a billing period, you keep access for the remainder of that period and are not refunded for the unused days.
  • The same applies to downgrades: the lower price starts at the next billing period, and the difference for the current period is not refunded.

6.3 When we do refund

We will refund a subscription charge in these cases:

  • Duplicate or incorrect charge — charged twice, or charged after a valid cancellation: refunded in full.
  • A first accidental renewal — you meant to cancel and did not use the Service in the new billing period: refunded in full if you contact us within 14 days of the charge.
  • Extended outage — the Service is materially unavailable due to our fault for an extended period: refunded pro rata for the affected days.
  • Anything else — at our discretion, considered in good faith.

6.4 How to request a refund

  1. Email [email protected] from the email address on the account.
  2. Include the gym name, the date and amount of the charge, and the reason.
  3. We reply within 2 business days and decide within 5 business days.
  4. Approved refunds are returned to the original payment method. Once issued, the funds typically appear within 5–10 business days, depending on your bank or card issuer.

If we decline a refund we will explain why. Nothing in this section limits any refund right you have under the mandatory consumer law of your country.

6.5 Chargebacks

Please contact us before disputing a charge with your bank — most issues are resolved faster by email. We may suspend an account with an unresolved chargeback until it is settled.

7. Payments Between Members and Gyms

When a member pays a gym through Forzive, the gym is the provider of the fitness services being paid for. The gym sets its own membership, cancellation, and refund terms, is responsible for delivering the service, and decides whether to refund its members. Forzive does not set or enforce a gym's membership terms.

Online card payments are processed through Stripe Connect using destination charges: the charge is created on Forzive's Stripe platform account, the platform fee in Section 5 is retained, and the balance is transferred to the gym's connected Stripe account. This means Forzive may appear as the merchant of record on the member's card statement or in the payment descriptor, even though the gym is the party delivering the service.

  • Payments are processed by Stripe (via Stripe Connect) or PixelPay, subject to that provider's own terms.
  • A gym can issue a refund to its member from its Forzive dashboard, subject to the processor's rules and available balance.
  • Members: raise a billing question or refund request with your gym first. If the gym does not resolve it, write to [email protected] and we will help where we can, but we cannot override the gym's own membership terms.

8. Promotional Passes

Passes shown on the Discover marketplace are issued by the listed gym, not by Forzive. The terms of each pass (validity dates, what's included, member eligibility) are set by the gym and displayed on the offer. Forzive makes no guarantee that a gym will honor a claimed pass outside the terms shown at the time of claim.

9. Acceptable Use

You agree not to:

  • Share your claim codes publicly or resell them
  • Upload false information or impersonate another person or business
  • Use the Service to process payments for any business other than the one on the account, or for goods and services unrelated to fitness
  • Use the Service for fraud, money laundering, or any unlawful purpose, or in violation of applicable sanctions
  • Upload malware, or content that is unlawful, infringing, or abusive
  • Store personal information of your members without a lawful basis, or use it for purposes they have not agreed to
  • Attempt to disrupt, overload, probe, or reverse-engineer the Service, or circumvent plan limits
  • Resell or white-label the Service without our written agreement

10. Suspension and Termination

  • By you: cancel at any time as described in Section 6.
  • By us: we may suspend or terminate an account if you materially breach these Terms, if payment fails and is not cured, if we are required to by law or by a payment provider, or if continued service creates a legal or security risk.
  • Notice: except where a breach is serious or we are legally required to act immediately, we will give you notice and a reasonable chance to fix the problem.
  • On termination: your right to use the Service stops. You may export your data for 30 days after termination, after which it is handled as described in our Privacy Policy. Terminating for breach does not entitle you to a refund of fees already paid.

11. Disclaimers

The Service is provided "as is" and "as available". To the maximum extent permitted by law, Forzive disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free.

Forzive is not liable for injuries sustained while training at a gym reached through the platform — that responsibility lies with the gym operator. Nothing on Forzive is medical advice.

12. Limitation of Liability

To the maximum extent permitted by law:

  • Forzive is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost business, or lost or corrupted data, even if we were advised such damages were possible.
  • Forzive's total aggregate liability for all claims relating to the Service is limited to the greater of (a) the amounts you paid Forzive in the twelve (12) months before the event giving rise to the claim, or (b) one hundred US dollars (US$100).
  • Forzive is not liable for the acts or omissions of a gym, a member, or a payment processor, nor for events outside our reasonable control.

Some jurisdictions do not allow the exclusion of certain warranties or liabilities. Where that is the case, the exclusions above apply only to the extent permitted, and nothing in these Terms limits liability for fraud, gross negligence, willful misconduct, or death or personal injury caused by our negligence.

13. Indemnity

You agree to indemnify and hold Forzive harmless from claims arising out of your use of the Service in breach of these Terms, your content, or your relationship with your own members.

14. Governing Law

These Terms are governed by the laws of Honduras, without regard to conflict of law rules. This does not deprive you of the protection of mandatory consumer laws in your country of residence.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be announced in-app or by email to registered users at least 30 days before they take effect. Continuing to use the Service after that date means you accept the updated Terms.
